From its latest annual report

TKO owns UFC, the mixed martial arts league, and WWE, the professional wrestling company, along with Professional Bull Riders, and runs the Zuffa Boxing promotion through a joint venture. It owns IMG, a sports marketing agency, and On Location, which sells tickets and hospitality packages for major events such as the Olympics and the Super Bowl. TKO says its properties reach more than 1 billion households and that it held over 500 live events in 2025.

TKO reports three segments: UFC, WWE and IMG. It makes money mainly from selling the rights to show its fights and shows to TV networks and streaming services under multiyear contracts. Starting in 2026, Paramount became the only US home for UFC events, and Netflix carries WWE's weekly Raw show. It also earns from ticket sales and fees paid by host cities, from sponsorships and advertising, and from licensing its brands for video games, toys and merchandise. Revenue was $4,735.2 million in 2025. TKO says it competes with other sports and entertainment for fans' time, and with other sports marketing agencies and hospitality firms.

TKO had over 4,000 employees in more than 30 countries at the end of 2025; its fighters, wrestlers and bull riders are independent contractors, not employees. It was formed when UFC and WWE combined in 2023, and in February 2025 it bought IMG, On Location and Professional Bull Riders from Endeavor in a deal valued at about $3.25 billion. Endeavor, controlled by the investment firm Silver Lake, controls TKO.

Biggest risks, in its own words

KIRA’s summary AI analyst

Hi! I read TKO Group’s latest annual report (fiscal 2025). Here is what stands out:

2 strengths 1 to watch

1.Sales and profit

See section β†’
  • TKO Group had $4.7B of revenue in fiscal 2025, down 3.1% on the year before.
  • Its operating margin was 17.6%, up 17.0Β pts: of every 100 in sales, about 18 is left after running the business.
  • TKO Group made $195M of net profit in fiscal 2025.

2.Cash and shareholders

See section β†’
  • TKO Group returned $1.1B to shareholders in fiscal 2025. The diluted share count rose 12.9%.
  • In the last 12 months, insiders sold $24.8M of shares on the open market and bought none.

3.Financial health

See section β†’
  • TKO Group owes $3.2B more than it holds in cash, about 2.4 years of operating profit.
  • Its return on capital was 5.9%: every 100 invested in the business earned about 6 in a year.
  • TKO Group passes 5 of 8 financial health tests (Piotroski F-score).

Biggest risks, in its own words

  • Its reliance on a few TV and streaming partners to carry its events, and on renewing those deals on good terms.
  • Losing popular fighters and wrestlers, or fans losing interest in its events and shows.
  • Bad publicity about the company or its leaders, including an investigation into misconduct claims against WWE's founder.
  • Its large debt, and the risk that buying IMG and On Location does not bring the expected benefits.
  • Control by Endeavor and Silver Lake, whose interests may differ from those of other shareholders.

About these figures. TKO was formed in September 2023 when UFC and WWE combined; earlier years are UFC's parent, which had no public shares, so per-share figures start in 2023. TKO tags its capital expenditure with its own label, which the SEC's structured data leaves out, so capital spending and free cash flow are left blank.
