ADT to go private in Thrive Holdings deal valued at $15.3 billion
The $10-per-share cash transaction offers a 45.6% premium and is expected to close in the first quarter of 2027, pending approvals.
ADT agreed to be acquired by Thrive Holdings for $10.00 in cash per share, a transaction announced October 29 that values the home-security company at approximately $7.6 billion in equity value and $15.3 billion in enterprise value.
The definitive agreement would take ADT private and end its NYSE listing after closing. ADT’s SEC filing identifies the merger agreement as a material definitive agreement and highlights risks including approval delays, competing proposals, termination events and the effect of the transaction on operations.
The deal arrives before ADT’s scheduled third-quarter results, which the company said would be released before the market open on November 3. Its latest reported quarter showed revenue of $1.312 billion, up 2% year over year, operating cash flow of $666 million, up 18%, and adjusted free cash flow of $406 million, up 48%.
ADT’s latest 2026 outlook called for approximately 2% revenue growth, 2% adjusted EPS growth and 30% adjusted free-cash-flow growth. The transaction gives investors a defined cash exit while leaving final value dependent on completion conditions and the company’s performance during the interim period.
