DoorDash agrees to acquire Instacart for about $17 billion
The proposed combination values Instacart at $65 a share, with at least 75% cash consideration, creating a larger grocery-delivery and local-commerce platform subject to approvals.
DoorDash agreed to acquire Maplebear, the parent company of Instacart, in a transaction valued at approximately $17 billion. The merger agreement was signed on October 28 and disclosed in filings by both companies on October 29.
Instacart shareholders may elect cash, DoorDash shares or a combination, subject to proration. DoorDash said stock consideration is capped at 25%, so at least three-quarters of the consideration is cash.
The agreement is structured as a merger in which a DoorDash subsidiary would merge into Instacart, leaving Instacart as a wholly owned DoorDash subsidiary. Closing remains subject to Instacart stockholder approval, regulatory clearances and other customary conditions.
