Viatris launches $36.50 cash tender offer for Pacira
Viatris has commenced its tender offer for Pacira BioSciences, with the $1.65 billion deal subject to stated conditions and a November 16 expiration date.
Viatris has commenced a tender offer to acquire all outstanding shares of Pacira BioSciences for $36.50 in cash per share, under an agreement that would make Pacira a wholly owned subsidiary.
Viatris announced the commencement on October 30, following the October 8 merger agreement. The offer is being made by Peach Purchaser Sub, a wholly owned Viatris subsidiary, and is not subject to a financing condition.
Structure and conditions
If the tender offer closes, Peach Purchaser Sub will merge with and into Pacira under Section 251(h) of Delaware law, without a separate stockholder vote. The minimum condition requires more than 50% of Pacira shares outstanding at expiration, subject to the agreement terms.
Pacira’s board has unanimously recommended that stockholders tender their shares. The offer remains subject to conditions including the expiration or termination of the applicable Hart-Scott-Rodino waiting period and the absence of legal restraints.
The offer and withdrawal rights are scheduled to expire one minute after 11:59 p.m. Eastern Time on November 16, 2026, unless extended or earlier terminated. The transaction remains subject to the stated conditions and has not yet closed.
